These Terms of Service ("Terms") govern your access to and use of Robot Ops's services, including our website, APIs, and software applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using Robot Ops, you affirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Robot Ops provides observability, monitoring, and debugging tools for ROS (Robot Operating System) based robotics applications, including but not limited to:
- Distributed tracing and performance monitoring
- System health monitoring and alerting
- Log aggregation and analysis
- Error tracking and debugging
- Fleet management and analytics
3. Account Registration and Security
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
You may not share your account credentials or allow others to access your account. Robot Ops reserves the right to suspend or terminate accounts that violate these Terms.
4. Subscription and Payment
Access to certain features requires a paid subscription. By subscribing, you agree to:
- Pay all applicable fees for your selected plan
- Provide current, complete, and accurate billing information
- Automatic renewal of your subscription unless canceled
- Price changes with 30 days' notice
Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period.
5. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others, including intellectual property rights
- Transmit malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or servers
- Use the Service for benchmarking or competitive analysis
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or obscure any proprietary notices
6. Intellectual Property Rights
The Service and its original content, features, and functionality are owned by Robot Ops, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain all rights to the data you submit to the Service ("Customer Data"). By submitting Customer Data, you grant Robot Ops a limited license to use, process, and display your data solely for the purpose of providing the Service to you.
7. Data Privacy and Security
Your use of the Service is also governed by our Privacy Policy. We implement industry-standard security measures to protect your data, including:
- Encryption of data in transit and at rest
- Regular security audits and penetration testing
- Access controls and authentication mechanisms
- Incident response and breach notification procedures
8. Service Level Agreement (SLA)
We strive to maintain 99.9% uptime for our Service. While we make commercially reasonable efforts to ensure availability, we do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.
9. Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Robot Ops does not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBOT OPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to Robot Ops in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Robot Ops and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:
- Your right to access and use the Service will immediately cease
- You may request an export of your Customer Data within 30 days
- We may delete your Customer Data after the retention period
You may terminate your account at any time by contacting us. All provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
13. Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall take place in New Jersey, United States.
You agree to waive your right to participate in a class-action lawsuit or class-wide arbitration.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Robot Ops concerning the Service.
